Job Title: Sr. Equity Capital Markets Execution

Location: Mumbai

We are hiring across multiple mandates in ECM Execution (Merchant Banking).

Role & Responsibilities:

• Lead and execute a diverse range of ECM transactions, including IPOs (Main Board), QIPs, Preferential Issues, Rights Issues, and Buybacks.
• Manage end-to-end deal execution with strong coordination across internal and external stakeholders.
• Provide strategic advisory to clients on capital market transactions with a strong understanding of regulatory and market dynamics.
• Draft, review, and vet legal documents such as SSAs, SHAs, Term Sheets, IMs, Teasers, NDAs, and Engagement Letters.
• Conduct detailed due diligence, including verification of financials, business operations, and KMP (Key Managerial Personnel) disclosures.
• Review and analyze company financial statements (restated BS/P&L) and compute financial ratios.
• Stay updated with Securities Laws, SEBI ICDR regulations, and the Companies Act to ensure compliance.
• Prepare high-quality presentations, documentation, and reports using MS PowerPoint, Word, and Excel.
• Understand clients business models and economic environments to provide tailored solutions.
• Lead and mentor junior team members to ensure smooth execution and strong team performance.
• Bring a solid blend of analytical and execution capabilities to drive successful deal outcomes.

Qualifications & Experience:

• Professional qualifications: CS / CA / LLB .
• 412 years of experience in Equity Capital Markets (Main Board IPOs).
• Strong knowledge of Securities Laws, SEBI ICDR, Companies Act, and compliance for ECM & M&A mandates.
• Experience handling KMP-related disclosures, diligence, and regulatory documentation.
• Proficiency in drafting and reviewing ECM-related legal documents.
• Strong command over financial analysis and ratio computations.
• Excellent skills in MS PowerPoint, Word, and Excel.
• Demonstrated leadership and team management capabilities.
