Job Title: Senior Analyst – Corporate Governance & Secretariat.

Location: Bangalore

Business & Team: The CBA India Finance team is responsible for the comprehensive financial management of the entity, working in tandem with various Technology Business Units in India. Our team ensures that all financial operations are aligned with the strategic goals of the organization, providing critical support to the business units in managing their budgets, forecasting, and financial planning.
The CBA India Finance team also encompasses support functions such as Treasury, Corporate Secretarial, Legal, and Corporate Social Responsibility teams. These functions play a vital role in ensuring that our financial operations are not only compliant with regulatory requirements but also contribute to the overall corporate governance and social responsibility goals of the organization.

Impact & contribution:

  • Assist Sr. Manager – Governance with activities relating to Annual General Meeting, Board meetings and committee meetings.
  •  Assist in statutory filings related to Company Secretarial, Finance and other regulatory matters.
  • Assist in preparation of Agenda, Minutes, Board papers and committee papers as per Group & regulatory requirements.
  • Assist with Co-ordination and planning of events related to Annual Board & committee meetings.
  • Co-ordinating and guiding various Business units for drafting and timely submission of Board/committee’s required information.
  • Preparing and maintenance of Statutory records as per regulatory requirements.
  • Promoting awareness and engagement in CSR activities among employees and the broader community.
  • Assist in management of Compliance tool.
  • Assist in maintenance of Statutory register.
  • Assist in Group Corporate Secretarial matters including CSR strategies, and Australian regulations.

Roles & Responsibilities:

  • Providing assistance in Corporate Secretarial matters including CSR strategies.
  •  Assist with activities relating to Annual General Meeting, Board meetings and CSR committee meetings.
  • Assist in statutory filings related to Company Secretarial, Finance and other regulatory matters.
  • Assist in preparation of Agenda, Minutes, Board papers and committee papers as per Group & regulatory requirements.
  •  Assist with Co-ordination and planning of events related to Annual Board & committee meetings.
  • Co-ordinating with various business units and external agencies for on time submission of Board/committee’s required information.
  • Coordinating and guiding various Business units for drafting Board & Committee papers.
  • Preparing and maintenance of Statutory records as per regulatory requirements.
  • Assist in Entity Compliance updates, review and adherences
  • Assist in Risk portfolio management
  • Promoting awareness and engagement in CSR activities among employees and the broader community.  
  • Representing the company at CSR-related events, conferences and forums to enhance our reputation and build partnerships.

Essential Skills:

  • Demonstrate experience as Assistant Company Secretary, or similar role with 2 - 4years.
  • Strong understanding of Companies Act 2013 regulations, rules, and best practices in the context of the Indian and International corporate landscape.
  • Experience in managing stakeholder relationships. • Knowledge of CSR, ESG (Environmental, Social and Governance) reporting.
  • Excellent Drafting skills and organizing skills, with the ability to manage multiple activities simultaneously.
  • Strong communication and interpersonal skills, with experience collaborating with diverse stakeholders and relationship management.
  • High level of attention to detail, integrity and ethical standards, with a commitment to accountability & responsibility.
  • Ability to work independently and collaboratively in a dynamic environment.

Educational Qualifications:

  • Associate Company Secretary from ICSI, or equivalent on a related field.
