Job Description
Purpose of the Job
Support the Head of Corporate Finance in structuring, negotiating and securing value-accretive M&A transactions and strategic partnerships for ENGIE India, while ensuring capital discipline, rating awareness and covenant alignment in coordination with relevant stakeholders.
The role acts as financial structuring lead and value gatekeeper across transactions led by Business Development, strengthening ENGIE Indias Corporate Finance function in line with Group standards and increasing transaction complexity.
Key Activities and Competencies
1. Transaction Structuring & Negotiation
Lead financial structuring of M&A and partnership transactions
Define equity structures, valuation approaches and governance frameworks
Develop negotiation positions on key financial and shareholder terms
Ensure alignment with ENGIE Group transaction standards
Contribute to investment committee materials and Board documentation
2. Value Protection & Risk Assessment
Challenge commercial and technical assumptions from BD and project teams
Identify value drivers and downside risks
Structure shareholder protections (exit clauses, reserved matters, dilution mechanisms, etc.)
Ensure disciplined capital allocation and return thresholds
3. Rating Impact & Capital Structure Analysis
Assess transaction impact on credit metrics and leverage ratios
Analyse pro-forma Financial profile post-transaction
Support to rating-related analysis and materials in coordination with Treasury and rating agency.
Ensure transaction structures remain consistent with Group rating objectives
4. Debt Covenant Monitoring (Strategic Level)
The Senior Manager will support the Head of Corporate Finance in ensuring continuous compliance with all lender obligations. This includes coordinating internal responses to information requests, monitoring financial covenants, and preparing periodic compliance certificates.
5. Deal Execution & Coordination
Coordinate financial workstreams with external advisors (IB, legal, consultants)
Support due diligence processes
Interface with ENGIE Group Corporate Finance
Coordinate and deliver closing transactions to an end by designing Flow of funds and closing memo.
Required Profile
8 15 years experience in Investment Banking, Transaction Services, Infrastructure / Energy M&A or Corporate M&A
exposure to valuation, JV structuring and shareholder agreements
Understanding of capital structure, credit metrics and rating environments
Ability to operate in cross-functional and matrix organisations
Strong analytical and negotiation skills
