Role Overview
The Company Secretary Manager will be responsible for ensuring compliance with the
Companies Act, 2013, SEBI regulations, and other applicable corporate laws. The role
requires hands-on experience in board governance, regulatory filings, stock exchange
compliances, and coordination with internal and external stakeholders in a public company
setup.
Key Responsibilities:
- Corporate & Secretarial Compliance
Ensure end-to-end compliance under the Companies Act, 2013 and rules made
thereunder
Handle SEBI LODR, SEBI ICDR, PIT, SAST, and other applicable SEBI regulations
Manage statutory filings with ROC, SEBI, Stock Exchanges, and other regulators
Maintain statutory registers, records, and corporate filings in electronic and physical
form
- Board, Committee & Shareholder Matters
Plan, convene, and support Board, Audit Committee, NRC, SRC, and other
committee meetings
Draft agendas, notes, resolutions, minutes, and action trackers
Ensure proper quorum, approvals, and compliance with secretarial standards
Coordinate general meetings including AGMs and EGMs
- Stock Exchange & Investor Compliance
Handle ongoing listing and post-listing compliances
Prepare and review stock exchange disclosures, press releases, and investor
communications
Coordinate with RTA, depositories, and stock exchanges for corporate actions
Key Skills & Competencies:
- Strong working knowledge of Companies Act, 2013 and SEBI regulations
- Experience in listed company or IPO-ready environment
- Excellent drafting and documentation skills
- Strong coordination and stakeholder management abilities
- Attention to detail and high compliance orientation
- Ability to work under tight regulatory timelines
Preferred Experience:
- Experience working with public listed companies
- Exposure to IPO, fund raising, or capital market transactions
- Hands-on experience with stock exchange filings and governance frameworks
