Senior Associate

We are seeking a highly organized and detail-oriented Company Secretary with 3–4 years of experience to ensure our company’s compliance with legal and regulatory requirements. The ideal candidate will be responsible for corporate governance, statutory filings, and providing expert advice to the board and senior management on legal matters.

Key Responsibilities

• Ensure compliance with corporate governance, statutory obligations, and regulatory requirements.

• Prepare and maintain statutory registers, records, and annual returns.

• Organize and attend board meetings, committee meetings, and general meetings, including drafting agendas, minutes, and resolutions.

• Advise the board on legal and regulatory matters, ensuring adherence to corporate laws and company policies.

• Liaise with regulatory authorities such as the Registrar of Companies (ROC), Securities and Exchange Board, and other statutory bodies.

• Handle company filings, including incorporation, amendments, and disclosures.

• Assist in drafting, reviewing, and managing contracts, policies, and other legal documents.

• Ensure timely communication and filing of reports with stakeholders. • Support risk management, internal control processes, and corporate ethics initiatives.

Requirements

• Bachelor’s degree in Law, Finance, or a related field. A Company Secretary (CS) qualification is mandatory.

• 3–4 years of experience in corporate governance, legal compliance, and company secretarial functions.

• Strong knowledge of company law, securities regulations, and corporate governance best practices.

• Excellent written and verbal communication skills. • Strong organizational skills and attention to detail.

• Proficiency in MS Office and familiarity with corporate secretarial software.

• Ability to handle confidential information with discretion.

Preferred Qualifications:

• Experience working in a listed company or multinational organization.

• Familiarity with mergers, acquisitions, and corporate restructuring processes.

• Membership with a recognized Company Secretaries Association.

• Communication – Able to understand and articulate with clarity, presents well-reasoned arguments
