About the Role

We are seeking an experienced Senior Associate / Principal Associate to join our client a law firm in Mumbai. The role involves leading complex domestic and cross-border transactions, managing client relationships, and mentoring junior team members while working closely with partners on high-value matters.

Key Responsibilities

  • Lead and manage end-to-end M&A transactions, including mergers, acquisitions, joint ventures, private equity, and strategic investments.
  • Independently draft, review, negotiate, and finalize transaction documents such as:
  • Share Purchase Agreements (SPA)
  • Share Subscription Agreements (SSA)
  • Shareholders Agreements (SHA)
  • Joint Venture Agreements (JVA)
  • Asset Purchase Agreements and Business Transfer Agreements
  • Advise clients on corporate law, Companies Act, 2013, FEMA/FDI regulations, SEBI regulations (where applicable), and other allied laws.
  • Supervise and review legal due diligence exercises and due diligence reports.
  • Manage transaction timelines, deal execution, closing mechanics, and post-closing compliances.
  • Act as a key point of contact for clients, opposing counsel, regulators, and internal stakeholders.
  • Mentor and guide junior associates, ensuring quality control and efficient delegation of work.
  • Support partners in business development initiatives and client pitches.

Requirements

  • LL.B. from a recognized university in India.
  • 57 years of post-qualification experience in Corporate/M&A practice.
  • Demonstrated experience in handling transactions with minimal supervision.
  • Strong knowledge of corporate, commercial, and regulatory frameworks relevant to M&A.
  • Excellent drafting, negotiation, and client-handling skills.
  • Ability to work independently and manage multiple transactions under tight deadlines.

Preferred Qualifications

  • Experience at a Tier 1 / Tier 2 law firm or a reputed boutique corporate law firm.
  • Exposure to private equity, venture capital, and cross-border transactions.
  • Prior experience mentoring junior lawyers.
