The Role:

As a Senior Associate - Corporate, you will work directly with venture-backed startups and growth-stage companies as their trusted outside counsel across the full lifecycle of their business, from company formation and early fundraising through to late-stage financings, acquisitions, and exits. Your work will span term sheet negotiations, drafting and closing financing documents, managing M&A transactions, advising on regulatory and compliance matters, and handling the day-to-day legal needs of active clients.

You will be expected to own matters end-to-end, manage client relationships directly, and supervise the work of junior lawyers on your team. The ideal candidate is someone who understands the startup ecosystem well enough to advise founders and investors not just on the law, but on the practical implications of the decisions they are making.

Qualifications and Experience:

• An LL.B. degree (or its equivalent) from a recognised Indian university is required; enrolment with the Bar Council of India or at least one State Bar is mandatory.
• Atleast 4 to 6 years of post-qualification experience as a corporate lawyer, with at least a meaningful portion of that experience working with clients in the start-up and venture capital ecosystem.
• Sound working knowledge of Indian corporate law, FEMA/ODI/FDI regulations, Companies Act 2013, and SEBI frameworks; exposure to cross-border transactions, and VC/PE documentation standards is a strong advantage.
• Demonstrated experience in drafting and negotiating investment agreements, shareholders agreements, and M&A transaction documents.
• Experience navigating regulatory frameworks applicable to technology companies is preferred; familiarity with equity compensation structures and cap table management is an added advantage.
• Strong background and genuine interest in the startup and venture capital ecosystem; a commercial mindset and the ability to think strategically alongside founders and investors.
• Excellent drafting, analytical, and research skills; meticulous attention to detail and an unwavering commitment to quality in all client-facing deliverables.
• Excellent written and spoken English; the ability to communicate clearly and credibly with founders, investors, and counterpart counsel.
• Collaborative, positive, and pragmatic; the ability to manage multiple concurrent matters, meet demanding timelines, and take end-to-end ownership of assignments with minimal supervision.
