Position Title:Project Finance Expert (Project financing and Risk Mitigation)

Location:Bengaluru, Karnataka

Role Summary:

We are seeking a high-calibre finance professional to join our Finance team as Project Finance. This role covers the full lifecycle of financing for utility-scale Clean Energy assets and AI-driven Data Center projects across International markets.


The incumbent will work on end-to-end structuring, execution, and monitoring of project finance transactions from concept and SPV setup through financial close. A strong command of SPV structuring, Shareholder Agreements (SHA), debt capital market instruments, and green/sustainable finance frameworks is essential.


Key Responsibility:

1.Transaction Origination & Deal Structuring

Lead end-to-end deal structuring: SPV architecture, capital stack design (equity / mezzanine / senior debt), and risk allocation across project stakeholders.

Prepare and present Investment Memoranda, Credit Papers, and Transaction Committee presentations.

Conduct detailed financial modelling, sensitivity analysis, scenario planning, and returns assessment (Project IRR, Equity IRR, DSCR, LLCR).


2.SPV Structuring & Legal Framework

Design and implement SPV frameworks compliant with respective countries regulatory requirements (Companies Act, Corporate tax, FEMA / FDI norms).

Negotiate and finalise Shareholder Agreements (SHA), JV Agreements, Subscription Agreements, Inter-se Agreements, and Drag / Tag-along provisions.

Manage equity investor onboarding.

Oversee corporate governance frameworks within the SPV: board composition, reserved matters, and minority investor protection rights.


3.Debt Structuring & Capital Markets

Structure and negotiate senior debt, sub-debt, and mezzanine instruments across domestic and international lenders (banks, DFIs, multilaterals banks)

Execute project finance debt raises via Term Loans, ECB (External Commercial Borrowings), Green Bonds, and Sustainability-Linked Loans (SLLs).

Draft and negotiate Loan Agreements, Security Trustee Agreements, Intercreditor Agreements, Debenture Trust Deeds, and Escrow Agreements.

Manage lender due diligence, and condition precedent (CP) clearance to achieve financial close.

Develop Sustainability-Linked Finance frameworks including KPI selection, SPT calibration, and step-up / step-down coupon mechanisms.



Key Requirements:


Education & Experience:


CA / CFA/ MBA (Finance) or equivalent from a reputed institution

minimum 3-4years of relevant experience in Project Finance, Structured Finance, or Infrastructure Finance.

Demonstrated track record of having led or co-led financial close of at least 35 infrastructure / project finance transactions


Skills Required:


SPV structuring & JV / SHA negotiations

Green Bond / SLL framework structuring

DSCR / LLCR / IRR / NAV analysis

High attention to detail & deadline orientation

Integrity and professional ethics

Sharp analytical & problem-solving ability


What youll do:

In this role, on a day-to-day basis, you will:

Structure bespoke financing solutions across the capital stack.

Own the financial model for each transaction building, reviewing, and stress-testing assumptions.

Drive green bond and SLL frameworks from inception to certification, coordinating with external SPO providers and ESG rating agencies.

Contribute to building the firm's capabilities in sustainable infrastructure finance.


What you bring:

We are looking for someone with the commercial instincts of a dealmaker. You bring:

A Proven Deal Pedigree: Direct, hands-on experience structuring and closing project finance transactions not just advisory or support roles.

Financial Rigour: The ability to build and interrogate complex financial models, stress-test assumptions, and translate numbers into sound credit and investment decisions.

Structuring Intelligence: Expertise in tailoring SPV structures, SHA provisions, and security packages to the specific risk profile of each project.

Green Finance Fluency:Working knowledge of GBP, CBI, SEBI green bond guidelines, and sustainability-linked finance ideally with live transaction experience.

Multilateral Literacy: Familiarity with DFI / multilateral lending protocols, safeguard policies, procurement rules, and documentation standards (ADB, IFC, DFC, KfW, JBIC).
