Job Description M &A
The candidate(s) must have knowledge of Companies Act, 2013, SEBI Regulations, FEMA Regulations, basic employment and labour laws, intellectual property laws, antitrust regulations, Data Privacy Laws including GDPR etc. relating to the M&A transactions.
The candidate(s) must have experience of conducting legal due diligence in both physical or virtual data rooms, highlighting risk such as contractual indemnities, warranties and liabilities, intellectual property rights, etc. and advice on the risk mitigation plan, preparing, reviewing and negotiating transaction documents like Shareholders Agreements, Share Purchase/Sale Agreement, Non-Disclosure Agreements, Engagement Letters, Letters of Intent, Binding/Non-Binding Offers, Asset Purchase Agreements, Business Transfer Agreements, Intellectual Property Agreements, etc. Candidate(s) must have experience of interacting with external lawyers or advisors.
Required Experience
- 10 to 12 years of legal experience with at least 5 years in corporate legal department corporate or law firm with focus on mergers, acquisitions (both domestic and international), demergers, divestments and corporate restructuring transactions.
- Excellent communication, analytical and collaboration skills.
- Experience in reviewing/ drafting/ negotiating M&A documents including Non-Disclosure Agreement, Engagement Letter of Intent, Share Purchase Agreements etc, at various stages of the transactions.
Good to Have
Work experience from a law firm outside India (UK, US, APAC or Europe) with specialization in M&A.
Work experience in IT & ITES industry.
Experience in handling acquisition of captive units.
