Job Description

M&A role within the Legal department

The budget for thisposition is 45 LPA - 55 LPA.

Candidate preferred from NLUs, Gujarat Law College or Symbiosis Law College

LL.B. or equivalent legal qualification from a reputed college. Candidates with Company Secretary qualification would be preferred



Roles and Responsibilities: M&A Legal


M&A and Investments:


Matters pertaining to Scheme of Amalgamation and Arrangement of Companies.

Matters related to divestment and acquisition of Companies.

Matters relating to corporate restructuring including Business Transfer Agreements, Asset sale etc.

Matters relating to Insolvency and Bankruptcy code.

Compliance with Corporate Governance, SEBI /Stock Exchange requirements.

Due Diligence assignments.


Contracts:


Drafting, reviewing and negotiating various types on Contracts, Agreements, tenders, NDAs, Master Service Agreement, Share Purchase Agreement, Joint Venture Agreements, Definitive Agreement, Concession Agreement, Writ Petition, Plaint etc.


General, Corporate Advisory:


The candidate should be capable of offering opinions on all legal issues, especially Companies Act, SEBI, FEMA, various Labour Laws, Taxation (GST), Environmental Law, Electricity Act, Transfer of Property Act, Stamp Act, Registration Act et


Digitization and Artificial Intelligence


Should have basic knowledge on Digitization and Artificial Intelligence


Ideal Profile


LL.B. or equivalent legal qualification from a reputed college. Candidates with Company Secretary qualification would be preferred

Ability to manage competing priorities, work independently, and influence decision-making in a fast-paced, global environment.

12-15 years of PQE, preferably with a mix oflaw firmandin-house experience. In house experience should preferably with large listed corporate.

Candidates should have experience to Merger & Acquisitions, Contracts and Tender matters.

Excellent negotiation, drafting, and stakeholder management skills.

Proven track record of handling complex commercial transactions.

Ability to manage competing priorities and influence decision-making in a fast-paced, global environment
