Job Description

Compliance under Companies Act:

  • Verify that the filling of various forms, returns, and reports etc. is done in the appropriate manner as per provisions of Companies Act for NSE and the subsidiary companies.
  • Review and verify the correctness and completeness of the statutory to comply with the Companies Act
  • Verify the correctness and completeness of the data in the disclosure database
  • Verify drafts prepared by AM/DM for appointment/ re-appointment of Directors/ Managing Directors and other company law related matters.
  • Oversee that the process of updating the Digital signatures is being done properly.
  • Verify and ensure that the mandatory declarations from directors or annual disclosures mandated by Companies act are being obtained in a timely manner.
  • Verify drafts prepared by AM/DM to intimate the change in directorships at NSE.
  • Manage the process of dividend payments to shareholders for NSE and subsidiaries.

 Queries from internal departments and regulators:

  • Guide the AM/DM in drafting the reply to the queries from internal departments and external regulators like parliament, RTI, Competition Commission, Jalan committee etc.; Review it and send it to AVP for approval.
  • Discuss with the AVP for the proper reply in case of critical queries from regulators.

 Board/ Shareholders/ Committee level meetings:

  • Discuss and finalise the schedule for the board, committee and shareholder meetings in consultation with the AVP.
  • Assist the AVP in preparing the agenda for the board, committee and shareholder meetings.
  • Assist the AVP in drafting the circulars to be distributed internally to communicate the resolutions passed in these meetings.

 Secretarial Audit:

  • Coordinate with the auditors to initiate the quarterly secretarial audits for NSE and the subsidiaries.
  • Review and verify the corporate governance norms compliance report to be sent to the audit committee on a quarterly basis which is drafted by the AM/DM; Send it for approval to the AVP.
  • Escalate any incidents of non-compliance flagged from the audit results to the AVP.

 Amendments to Byelaws, Rules and Regulations (BRR): 

  • Review the proposal prepared by AM/DM for amendments of Byelaws, Rules and Regulations to be presented before the Board or Executive Committee (EC); Send the proposal for approval to AVP.
  • Ensure the timely publication of the draft amendments in the gazettes to invite comments from the public.
  • Verify the letters regarding the amendments to be sent to SEBI, that is drafted by the AM/DM and send it to AVP for approval.
  • Review the drafts prepared by AM/DM for the publication of the final amendments and send to AVP for approval
  • Verify the circulars regarding amendments, drafted by AM/DM to be sent to the trading members and send to AVP for approval.

 Activities related to companies where NSE has invested:

  • Ensure the timely obtaining of regulatory mandates like share certificates, dividend warrants or annual reports from companies where NSE has invested; Follow up with the companies in case of escalations from the AM/DM.
  • Review the documents obtained to check that these companies are compliant to the Companies act.
  • Review the details obtained from companies where NSE has invested as per shareholders and share subscription agreement; Escalate exceptions identified to the AVP.
  • Verify the proposal/ documents for the transfer of shares by NSE for its correctness and completeness; Send for AVP’s approval before placing it before the transfer committee.
  • Review and verify the draft, prepared by AM/DM, containing the decision of the committee before sending it for AVP’s approval
  • Verify the documents submitted by the respective authorities for initiating the actual transfer.

 Protection of Intellectual Property Rights(IPR) for NSE:

  • Verify and add own inputs to the  MOUs , drafted by AM/DM, to be signed between NSE and other Indian and foreign stock exchanges and other external bodies like ICSI, NISM, IVC, SIDBI etc. to meet the legal requirements; Send it to AVP for final approval.
  • Initiate the process of registration/ renewal of registration of trade and service marks under trademarks act in consultation with the AVP.
  • File opposition/ counter statements/ evidences to trademarks similar to NSE’s and its group companies’ trademarks under the guidance of the AVP.

 Compliances under SCRA and Code of Ethics:

  • Review and verify the Monthly Development Report (MDR) and Monthly Activity Report (MAR), and other mandatory periodic reports to be sent to SEBI; Send it to the AVP for approval.

  • Review the quarterly and annual disclosures on code of ethics from the Directors at NSE and subsidiaries and employees of NSEIL; Escalate exceptions/ non compliance, if any, to the AVP.
