About the Role

We are looking for a Corporate & M&A Associate with 13 years of post-qualification experience to join our corporate practice in Delhi. The role involves working on domestic and cross-border transactions, advising clients on strategic investments, mergers, acquisitions, joint ventures, and corporate restructurings.

Key Responsibilities

• Assist in structuring, drafting, reviewing, and negotiating transaction documents including:
• Share Purchase Agreements
• Share Subscription Agreements
• Joint Venture Agreements
• Asset Purchase Agreements
• Shareholders Agreements
• Conduct legal due diligence and prepare due diligence reports.
• Advise clients on corporate law, FEMA, Companies Act, SEBI regulations (where applicable), and other relevant laws.
• Support senior team members in transaction execution, closing processes, and post-closing compliances.
• Coordinate with clients, opposing counsel, and internal teams to ensure timely deal closure.
• Research and analyze legal issues relevant to transactions and provide clear legal inputs.

Requirements

• LL.B. from a recognized university in India.
• 13 years of relevant post-qualification experience in M&A / corporate practice at a law firm or in-house legal team.
• Strong drafting and negotiation skills.
• Sound understanding of the Companies Act, 2013 and general corporate laws.
• Ability to manage multiple transactions and work under tight timelines.
• Strong analytical, communication, and organizational skills.

Preferred Qualifications

• Prior experience in a Tier 1 / Tier 2 law firm or a reputed boutique corporate law firm.
• Exposure to cross-border transactions and FEMA-related matters.
• Commercially minded with a solution-oriented approach.
