Key Role Requirements

Education:

LLB / LLM

Experience:

78+ years of post-qualification experience (PQE) in Banking, NBFC, or Financial Services, with strong exposure to Supply Chain Finance, co-lending structures, and bilateral loan documentation. The role requires strong drafting and negotiation skills, familiarity with lending products, and a solid understanding of applicable laws and regulatory guidelines.

Required Qualifications & Skills

• Hands-on experience in:
• Supply Chain Finance documentation
• Co-lending structures and agreements
• Bilateral loan and security documentation
• Review of Business Correspondent (BC) agreements and DSA agreements
• Strong knowledge of relevant laws, including provisions under:
• Companies Act
• Indian Contract Act
• Sale of Goods Act
• Transfer of Property Act
• Principles of Hypothecation
• Insolvency and Bankruptcy Code (IBC)
• SARFAESI Act
• Good understanding of RBI Master Directions applicable to NBFCs, including outsourcing guidelines and co-lending guidelines.
• Strong legal drafting, negotiation, research, and analytical skills.
• Excellent communication skills, attention to detail, and a technology-friendly mindset.

Key Responsibilities

• Draft, review, vet, and negotiate:
• Business Correspondent (BC) agreements, DSA agreements, and related onboarding documentation
• Facility agreements (secured/unsecured)
• Co-lending agreements and service level agreements (SLAs)
• Hypothecation deeds, guarantees, Demand Promissory Notes (DPNs), and Non-Disclosure Agreements (NDAs)
• Corporate authorizations, board resolutions, and ancillary documentation
• Review constitutional documents and authorizations for lending transactions.
• Conduct legal research and monitor regulatory developments impacting NBFC and lending operations.
• Coordinate with external counsel, law firms, and consultants for transaction-related legal support.
• Support maintenance of legal documentation systems and records.
