What Youll Do

Audax is seeking a skilled Legal Counsel to join our legal team remotely. This role will be pivotal in providing legal support for commercial matters, focusing on tech in-bound procurement agreements, and overseeing company secretary duties. Reporting to our Lead Counsel, we seek a candidate with robust business acumen, exceptional negotiation skills, and a deep understanding of tech industry practices and company secretary practices. The responsibilities include reviewing and negotiating contracts, guiding corporate governance, and managing end to end company secretary duties. The ideal candidate will excel in both commercial and governance realms, contributing to our dynamic team's success.

• Assist with general meetings, coordinate regular board meetings, and prepare agendas, papers, minutes, and resolutions for these meeting.
• Handle all end-to-end company secretary duties, minutes taking, HQ reporting requirements, and statutory filings, while ensuring compliance with corporate governance requirements and policies.
• Review and negotiate agreements such as NDA, commercial contracts, and supply agreements, with a primary focus on Tech in-bound procurement agreements, ensuring compliance with contract policies while protecting the company's interests.
• Provide legal advice and support on a wide range of commercial matters, including financial services outsourcing and intellectual property.
• Collaborate with internal stakeholders to understand business requirements and objectives and develop contractual solutions that meet these needs.
• Analyze and assess legal and business risks associated with commercial agreements and provide practical recommendations to mitigate these risks.
• Draft and review contractual documents with precision and attention to detail.
• Stay updated on industry trends, regulatory changes, and best practices in commercial law and corporate governance, and advise the business accordingly.
• Build and maintain strong relationships with internal stakeholders and external partners, fostering collaboration and trust.

What Were Looking For

• Qualified lawyer with a minimum of 3-6 years of post-qualification experience, preferably in-house, with a focus on commercial law and company secretary duties.
• Experience in corporate governance and company secretarial duties.
• Strong understanding of Tech in-bound procurement agreements, with experience negotiating various types of commercial contracts (MSA, MTA, SOWs etc).
• Knowledge of financial services outsourcing rules and guidance is highly desirable.
• Excellent negotiation skills, with the ability to effectively advocate for the company's interests while maintaining positive relationships with counterparties.
