Job Description
We are seeking a knowledgeable and detail-oriented Legal & Compliance Officer to manage and oversee all legal, regulatory, and statutory matters related to the companys operations in both the United States and India. The ideal candidate will ensure full legal compliance, mitigate risks, and provide strategic legal guidance to management.
Key Responsibilities
1. Legal Advisory & Compliance
- Provide expert advice on all legal matters relating to company operations.
- Ensure compliance with applicable India and US regulations.
- Monitor changes in legislation and advise management on necessary actions.
- Develop and implement internal compliance policies and procedures.
2. Contract Management
- Draft, review, and negotiate legal agreements, including:
- Non-Disclosure Agreements (NDAs)
- Mutual Non-Disclosure Agreements (MNDAs)
- Statements of Work (SOW)
- Master Service Agreements (MSA)
- Vendor and Client Contracts
- Employment Agreements
- Ensure contractual obligations are legally sound and aligned with business objectives.
- Maintain a centralized contract repository and ensure timely renewals.
3. Intellectual Property (IP) Management.
- Handle matters related to Patents and Trademarks (India and US)
- Coordinate filing, registration, renewal, and protection of intellectual property.
- Work with external IP attorneys to safeguard company assets.
4. Taxation & Financial Compliance
- Ensure compliance with:
- Income Tax laws
- GST regulations
- US tax compliance requirements (as applicable)
- Coordinate with auditors and tax consultants on statutory filings and audits.
- Support finance teams during assessments and regulatory reviews.
5. Statutory & Labor Law Compliance (India and US)
India Compliance
- Liaise with statutory authorities for inspections and compliance certifications.
- Advise HR and management on labour law amendments and risk mitigation.
- Represent the company in case of any disputes.
US Compliance
- Ensure legally compliant employment contracts and policies for US-based operations.
- Coordinate with US legal counsel for regulatory updates and multi-state compliance.
- Support compliance relating to employee classification, wage/hour laws, and benefits administration.
- Assist in handling employment-related disputes, claims, or regulatory inquiries.
- Maintain documentation and ensure audit readiness for US regulatory reviews
6. Representation & Coordination
- Represent the company in legal discussions and negotiations.
- Coordinate with:
- Senior Management
- External Legal Advisors (India & US)
- Auditors
- Government Authorities
- Insurance Providers
- Business Partners and Company Representatives
- Assist in dispute resolution, arbitration, and litigation management where required.
- Represent the company in legal meetings, compliance discussions, and negotiations.
7. Insurance, Risk Management & Governance (India and US)
- Manage Group Health Insurance, GPA, and other employee benefit policies.
- Coordinate renewals, endorsements, and claims.
- Ensure regulatory compliance under the Insurance Regulatory and Development Authority of India (IRDAI).
- Oversee employee benefits insurance, Workers Compensation, General Liability, and Professional Liability policies.
- Ensure compliance with requirements under the Affordable Care Act (ACA).
- Coordinate with brokers and insurance providers for renewals and claims management.
- Identify potential legal risks and recommend mitigation strategies.
- Conduct internal compliance audits.
- Support corporate governance initiatives and board-level reporting (if applicable).
- Ensure data protection and confidentiality compliance.
Qualifications & Skills
- Bachelors Degree in Law (LLB); LLM preferred.
- Minimum 5+ years of relevant experience in corporate legal and compliance roles.
- Strong working knowledge of the US and Indian legal frameworks.
- Excellent drafting and negotiation skills.
- Strong analytical, organizational, and communication abilities.
- High level of integrity, discretion, and professional ethics.
- Ability to work independently and collaboratively in a fast-paced environment.
