Role Overview

A leading law firm is looking to hire a Principal Associate General Corporate for its Mumbai office. The role is ideal for a senior associate with strong transactional experience , the ability to run matters independently , and growing exposure to client management and partner support , while remaining hands-on.

Key Responsibilities

General Corporate & Transactions

• Advising clients on General Corporate matters under the Companies Act, 2013
• Drafting, reviewing, and negotiating: Shareholders Agreements (SHA), Share Subscription / Share Purchase Agreements (SSA/SPA), Joint Venture Agreements, Business Transfer Agreements, Commercial contracts and strategic arrangements
• Leading and supervising corporate due diligence exercises
• Managing transactions end-to-end, including: Structuring, Documentation, Negotiations, Closings and post-closing compliances

Client & Matter Management

• Acting as a day-to-day point of contact for clients on assigned matters
• Independently handling mandates with partner oversight
• Providing commercially pragmatic advice aligned with client objectives

Team Supervision

• Supervising and mentoring Senior Associates and Associates
• Ensuring quality control, timelines, and efficient matter execution
• Reviewing junior team deliverables and guiding execution strategy

Business Development Support

• Supporting Partners on:
• Client pitches and proposals
• Negotiation strategy and client meetings
• Relationship-building initiatives
• Assisting in practice development and client retention , without a formal revenue target

Candidate Profile

• PQE: Typically 69 years (flexible for strong candidates)
• Strong experience in General Corporate and transactional work
• Prior law firm experience strongly preferred
• Ability to run transactions independently and manage multiple matters
• Comfortable with client interaction and supervising junior teams
• Commercial mindset with strong drafting and negotiation skills
