Job Description & Summary: JOB SUMMARY

The role involves strategizing, implementing & overseeing comprehensive due diligence practice and data privacy as a client facing role.  This will require candidate to work closely with stakeholders across various industry and help them in -

(i)undertake and advice on due diligences on target entities and assist the client in acquiring certain stake in such targets.

(ii)undertake and conduct data privacy audits/assessments and privacy compliance along with assessment of the existing applications architecture.

Responsibilities:

KEY RESPONSIBILITIES DUE DILIGENCE

                                                                                                                                         

  • Support in conducting due diligences and preparing diligence reports in various areas of law across contract review, licenses and permit review, IPR landscape, labour laws, corporate laws, litigation verifications and searches.
  • Advising the clients in areas of material impact on the acquisition or merger related transactions
  • Assessment of vendor/customer contracts and based on assessment results, identify the non-compliance, material clauses that may impact a transaction.
  • Candidate should have experience in identifying the risk areas/ areas where representations /warranties are required to be taken as a part of the diligence outcome and identify any non-compliances under the general laws in India
  • Conduct due diligence audits to assess compliance under various sectoral laws as applicable Indian laws to the client sector (retail, consumer, fintech, e-commerce, manufacturing, healthcare etc.) and identify areas for improvement.

KEY RESPONSIBILITIES DATA PRIVACY

  • Support in developing, implementing, and maintaining robust data privacy & protecting framework including identifying the applications and areas where data leak might take place;
  • Certifications like CIPE, CIPTE etc. preferred.
  • Review the organization posture on masking personal data
  • Advising on data protection impact assessments (DPIAs), Privacy Notices, Data Discovery, and other measures to ensure readiness with the data protection law and regulations
  • Experience in handling data governance and data classification tools
  • Develop Data Inventory and create/review and prepare data flow diagrams
  • Develop Consent Management by designing consent architecture framework and reviewing data flow diagrams
  • Assessment of As-is vendor contracts and based on assessment results, identify gaps between current contracts and to-be contracts
  • Prepare a Remediation Plan/Implementation Roadmap post gap assessment
  • Understanding of existing DLP and perform gap assessment
  • Develop and maintain an effective incident response plan for data breaches or privacy incidents or privacy incidents
  • Develop Policies and procedures for Data Privacy impact Assessment, Privacy incidents, third party privacy framework, Breach management procedures & data privacy governance structure
  • Conduct regular privacy audits to assess compliance and identify areas for improvement including audits under the Digital Personal Data Protection Act, 2024
