Job Description
Main responsibilities:
CHC Head of Finance Operations India is responsible for all accounting aspects of CHC India Legal Entities
- Sanofi Consumer Healthcare India Ltd – listed entity on Indian Stock Exchange with minority shareholders - hosting Commercial Operations
- Opella Healthcare India Private Limited hosting Commercial Operations and a Shared Services Center for Global Operations
- Responsible for accuracy and completeness of financial data at LE level, by applying CHC’s guidelines and accounting standards. Reviews and monitors technical accounting rules implementation, controls (SOX countries) and compliance
- Accountable of both local and corporate financial reporting and sign off: accuracy and fair representation of the legal entity(ies) financial statements and corporate reporting (Solar), and all the underlying processes that support the generations of the financial statements (including SOX certifications and Audit of local statutory accounts).
- Responsible for reviewing, validating and providing expertise on the accounting treatment of complex flows, contracts, etc.
CHC HFO represents Finance in Entity steerco and provide to Head of finance CHC France analysis of financial statement of French CHC entities.
CHC HFO manages the relationship with key stakeholders.
- Work closely with GBS stream (A2R, S2V, CI2C and HRS) in order to have a global view of financial statement.
- Implement strong collaboration with Head of Finance Performance, with Supply chain and customer service, with Commercial operations….
For the listed entity, Sanofi Consumer Healthcare India LTD, the CHC HFO will have on top the following responsibilities:
Quarterly Results & Audits:
Responsible for completing the quarterly accounts and limited reviews by the statutory auditors prior to publishing of the results to the stock exchange.
Reviewing and fulfilling the disclosure obligations as applicable under the Listing Obligations and Disclosure Requirements (LODR) in discussion with the Company Secretary
Responsible for the Yearly statutory accounts and the annual results publication
Preparation of Board and Audit Committee presentation on the quarterly and annual results along-with the variance analysis at entity level.
Board/Audit Committee, CSR Committee, Risk Management Committee Related Tasks and Interactions:
Preparation of Annual Budget at Legal Entity Level for presentation to the Audit Committee and Board, Preparation of segment results i.e Related/Un-related with a further split between Local Trade Segment/Manufacturing Segment/Import Segment as applicable for presentation to Audit Committee for prior approval of all Related Party transactions. Prior approval is taken by Dec every year for the following year.
Presenting the Capex Budget and performance against Budget to the Audit Committee
Deciding on the CSR Budget as per the prescribed norms and monitoring spend against the same, getting the same audited and also giving management certification for Board comfort as required under statute
Participation in the Risk Management Committee to discuss the key risks for the Company and arriving at the Risk Mitigation Plans along-with the Managing Director.
Single point of contact for the Board on all finance topics, the reporting may be verticalized for Sanofi but for the Board the HFO will be the single point of contact on all queries and respective functional heads need to provide inputs for matters which are presented to the Board.
Tax Accounts and Tax Audit :
Responsible for the accounts for Apr Mar period which is the fiscal year for tax and getting the same audited.
All inputs needed from accounting standpoint for annual tax audit as per prescribed format need to be provided for by HFO, primary responsibility for Tax Audit will remain with the Head of Tax.
Investor Relations/Investor Analyst Meetings/ Preparation for General Assembly :
Preparation for the investor/analyst meetings. Communication on the strategy and financial performance to the investors/analysts during the meetings
General Assembly related preparation on questions coming from the shareholders, answering the questions in the meetings and addressing concerns as needed
Special Resolutions requiring approval by 75% majority or resolutions where Majority of Minority approvals are required, interactions with Board/Minority shareholders prior to these resolutions and preparation of explanatory statements/additional information as needed.
