Designation : General Counsel / Chief Legal officer

Location : Delhi / NCR (onsite)

Reporting : MD

Client : A leading infrastructure investment platform in India.

Team : 2 -3 and external consultants

Responsibility

• Legal Advisory and Corporate Governance-As inhouse legal head work with MD ,CFO Board and other senior management on all matters legal corporate governance frameworks ensuring adherence to applicable laws and best practices.
• Transaction Structuring and Documentation -Advise on legal aspects of infrastructure investment transactions, including asset acquisitions, project financing, debt structuring, InvIT-related transactions and joint ventures.
• Contracts Management and Documentation : Oversee drafting, vetting, and negotiation of commercial contracts, including EPC, O&M, concession, financing, vendor, service agreements, and confidentiality arrangements. Handle infrastructure investments, project financing, and asset acquisitions
• Regulatory Compliance : organizational compliance with applicable corporate, investment, securities, and sectoral regulations, including SEBI InvIT Regulations, Companies Act and other relevant laws.
• Litigation and Dispute Management- Appoint and Coordinate litigation, arbitration, and external legal advisors
• Policy Formulation and Internal Controls- Draft , update and implement legal and compliance policies, procedures and standards.
• Investigations and Ethical Governance : handling of allied activities related to POSH, Whistle-blower complaints, Insider Trading, ABC matters
• Investor Interaction (Legal Matters)- Engage with regulators, investors, and senior stakeholders

Experience

• LLB ( must ) 15+ years of experience in legal leadership roles, management degree will be plus
• Experience in infrastructure , InvITs or project finance, asset management, NBFCs, or financial services (must have)
• At least one stint in last 5 years with Strong exposure to road/highway infrastructure projects or PPP models (must have )
• Expertise in concession agreements, regulatory compliance, and corporate governance. IPO experience is a big plus .
