Experienced Transaction Legal Candidate for Private Credit Investments

At least 10 years work experience in a law firms for drafting and reviewing transaction documentation for structured credit investments

Role:

• Partner with the investment team to develop/ evaluate financing structures for clients
• Review investment transaction docs such as Debenture Trust Deed, security creation and perfection (pledges, hypothecation, mortgage etc), corporate authorizations, legal opinions, CP documents and other ancillary documents
• In the unlikely event of an enforcement, lead the entire enforcement process with NCLT, Court and other related parties for ASK Group.
• Ensure compliance of financing investments with applicable laws and regulations
• Overview of fund management documentation and growth of the Private Credit Fund to newer areas such as feeder funds etc.
• Working with external counsel to draft specific documentation where required

Skills

• Corporate law/ structured financing experience with a law firm/ banks/ NBFCs/ financial institutions
• Familiarity with RBI, SEBI, FEMA, companies act and other relevant corporate law provisions
• Familiarity with IBC, SARFESI and real world, hand-on experience in security enforcement across unlisted assets (land, shares) , listed assets and intangible assets including personal guarantees.
• Well networked with law firms and a healthy working relationship with law firms and financial institutions
• Interpersonal and communication skills
