Job Summary:

The Experienced Manager plays a strategic leadership role in delivering complex financial due diligence engagements, leading large teams, and directly advising senior client stakeholders on deal drivers, risks, and value creation opportunities. This role also includes practice development, quality governance, and supporting business development initiatives.

Key Responsibilities:

1. Financial Due Diligence

• Lead and oversee complex, multientity FDD engagements, ensuring high-quality analysis across QoE, working capital, balance sheet, and cash flow.
• Provide final-level review of databooks, ensuring accuracy, consistency, and alignment with the overall deal narrative.
• Drive identification of key deal risks, EBITDA sustainability issues, normalization adjustments, and commercial implications.

1. Mergers and Acquisitions (M&A) Advisory

• Advise clients on target assessment, deal rationale, commercial drivers, and synergy evaluation.
• Provide strategic insights on market trends, margin drivers, scalability, and integration challenges.
• Guide teams on deeper-level analyses such as segmentation reviews, price-volume variance, customer/product profitability, and cost structure analysis.

1. Deal Structuring and Transaction Management

• Advise on SPA terms, including working capital mechanisms, closing accounts, earn-outs, indemnities, and debt-like item identification.
• Lead multi-stakeholder coordination with tax, valuation, technical accounting, and legal teams to ensure comprehensive deal support.
• Provide negotiation support through data-backed viewpoints, risk assessments, and deal-impact commentary.

1. Report Insights and client delivery

• Own the final review and delivery of full FDD reports, executive summaries, red flags, and key findings decks.
• Present deal insights directly to senior client leadership (CFOs, Corporate Development, Private Equity Partners).
• Ensure that insights are elevated from analysis to deal strategy, linking financial findings with valuation impact, structuring, and negotiation levers.

1. People Leadership & Team Development

• Lead, mentor, and develop Managers, Senior Analysts, and Analysts, ensuring consistent technical and analytical quality across the practice.
• Drive internal capability building, including methodology updates, templates, sector knowledge, and best practices.
• Support staffing, performance evaluations, and overall team growth to strengthen the Transaction Advisory function.

To qualify, candidates must have:

• Qualifications: CPA, CFA, CA, or equivalent with 8+ years of experience in financial due diligence, M&A advisory, or transaction support.
• Skills: Advanced proficiency in financial analysis, Excel, Databook preparation, financial Modeling, and QoE assessments.
• Experience: Prior experience with Big 4 or other consulting firms in transaction advisory or due diligence is highly preferred.
