Title: Head of Debt Syndication

Key Responsibilities

Origination & Deal Sourcing

Develop and maintain strong relationships with corporate issuers, promoters, financial sponsors, investment banks, NBFCs, and financial intermediaries to generate a consistent pipeline of debt opportunities.
Lead inbound and outbound business development initiatives including networking, roadshows, and relationship mapping.
Track sector opportunities and maintain market intelligence across industries such as infrastructure, real estate, manufacturing, renewable energy, and other capital-intensive sectors.

Transaction Structuring & Underwriting

Analyze borrower financials, cash flows, leverage metrics, and credit profiles to assess transaction viability.
Structure debt instruments including termsheets, repayment schedules, covenants, security structures, and intercreditor arrangements.
Collaborate with credit, risk, legal, tax, and compliance teams to validate structures and mitigate potential risks.
Ensure adherence to regulatory, accounting, tax, and legal frameworks governing debt instruments in India.

Syndication & Distribution

Design and execute distribution strategies including tranche structuring, pricing strategy, and investor placement.
Lead investor marketing initiatives including presentations, roadshows, due diligence sessions, and investor meetings.
Negotiate pricing, allocations, and documentation with institutional investors.
Manage the deal execution lifecycle including closing, subscription, settlement, and post-closing communications.

Portfolio Monitoring & Risk Management

Oversee post-transaction monitoring including covenant compliance, borrower performance tracking, and financial reporting review.
Work with internal credit and risk teams to monitor portfolio health and evaluate stress scenarios.
Recommend remedial strategies in case of covenant breaches or borrower stress situations.

Team Leadership & Stakeholder Management

Build, mentor, and lead a team responsible for origination, execution, and syndication activities.
Work closely with senior leadership to align on strategy, capital deployment, and risk appetite.
Present deal pipeline updates, risk assessments, and performance reports to senior management.
Represent the organization in industry forums, conferences, and investor interactions.

Strategic Market Intelligence

Monitor developments in credit and debt capital markets including interest rate movements, credit spreads, investor appetite, and regulatory changes.
Provide insights to support development of new credit products and investment strategies.
Benchmark market structures, pricing, and investor trends to ensure competitiveness.
