GAA Consulting is looking for a full-time Secretarial Associate - Compliance . This is an on-site role for a Qualified / Semi-qualified Company Secretary located in Bengaluru.

The firm has provided professional services to a wide range of clients, including listed companies, Banks, Financial Institutions, NBFC's, Fintech's & Promoters, and various Consultants. GAA has a specialized team with years of experience providing services such as Due Diligence, Fund Raising activities, Valuation Consulting, and more.

Job Role:

• Assist in the preparation of notices, agendas, minutes, and resolutions for Board, Committee, and Shareholder meetings.
• Maintain and update statutory registers and records in accordance with the Companies Act, 2013.
• Support the filing of returns, e-forms, and reports with the Ministry of Corporate Affairs (MCA), SEBI (LODR), RBI, and other relevant regulatory bodies as required.
• Assist with various event-based Company Secretarial activities.
• Assist with various fundraising activities like rights issue, private placement, IPO, slump sales etc.
• Aid in the preparation and filing of compliance forms such as MGT-7, AOC-4, PAS-3, and DIR-12, among others.
• Support compliance with FEMA, SEBI, and other applicable regulations.
• Assist in drafting and reviewing corporate agreements, resolutions, and other regulatory reports.

Required Qualifications:

• Candidate must have cleared CS Executive or Professional Exams.
• Candidate must have fair knowledge about Company Law and Secretarial Practices.
• Good written and verbal communication abilities.
• Proficient in MS Word, MS Excel and basic computer skills. .
