Role Summary

We are hiring a Legal & Company Secretary professional to manage end-to-end legal, secretarial, and compliance functions for an MNC environment. The role requires strong hands-on exposure to corporate law, governance, regulatory compliance, and senior stakeholder interaction, along with excellent communication skills.

Key Responsibilities

Legal Responsibilities

Drafting, reviewing, and negotiating commercial contracts, agreements, and legal documents

Advising business teams on corporate legal matters, regulatory risks, and compliance

Supporting M&A activities, due diligence, restructuring, and strategic projects

Liaising with external counsels, law firms, and regulators

Secretarial & Compliance

Handling board, committee, and shareholder meetings end-to-end

Ensuring compliance with Companies Act 2013, SEBI (LODR), FEMA, RBI, and other applicable laws

Managing ROC filings, statutory registers, disclosures, and corporate records

Supporting governance frameworks and internal compliance policies

Stakeholder Management

Working closely with CXOs, senior management, and global stakeholders

Coordinating with finance, HR, audit, and compliance teams

Acting as a key point of contact for regulatory and governance matters

Mandatory Skills & Experience

Qualified Company Secretary (CS) with LLB

5 -10 years of post-qualification experience in Legal & Secretarial functions

Experience working in an MNC or listed company setup

Strong knowledge of corporate law, governance, and regulatory compliance

Exposure to board-level documentation and interactions

Excellent verbal and written communication skills

Strong analytical, drafting, and stakeholder management skills

Good to Have

Experience in GCC / Shared Services / Global Compliance teams

Exposure to cross-border legal matters

Hands-on experience with compliance tools or automation systems

Prior interaction with Big4 / top law firms
