About the Role
The Contracts & Commercial Manager will be responsible for leading contract negotiations, pricing negotiations, and commercial structuring across key business verticals including:
- Distribution agreements
- Franchise & service network agreements
- Institutional & B2B contracts
- Vendor & procurement contracts
- Strategic partnerships
The role requires a commercially sharp professional who can protect company interests while enabling scalable business growth.
Responsibilities
Contract Management & Negotiation
Draft, review, and negotiate commercial agreements including:
- Distributor contracts
- Franchise agreements
- Institutional supply agreements
- Vendor and procurement contracts
- NDAs, MOUs, SLAs, and service agreements
- Structure contracts to balance risk mitigation and commercial competitiveness.
- Ensure clarity in pricing, payment terms, penalties, indemnity, liability, and termination clauses.
- Coordinate with legal advisors for complex agreements.
Price & Commercial Negotiations
Lead pricing negotiations with:
- Large distributors
- Institutional customers
- Franchise partners
- Key vendors and suppliers
Conduct margin analysis and cost modeling before negotiations.
Structure rebate models, incentive slabs, volume-linked pricing, and long-term commercial terms.
Benchmark pricing against industry and competitor trends.
Risk & Compliance Oversight
- Identify contractual, financial, and operational risks in agreements.
- Ensure compliance with internal commercial policies and statutory regulations.
- Standardize contract templates and commercial frameworks.
- Maintain proper documentation and approval workflows.
Commercial Strategy Support
- Support sales and business development teams in structuring large deals.
- Provide commercial inputs for new business models (e.g., service centres, detailing networks, institutional supply).
- Evaluate profitability and risk-return analysis for strategic partnerships.
- Develop commercial dashboards for leadership review.
Stakeholder Coordination
Work closely with:
- Sales & Business Development teams
- Finance & Accounts
- Legal Advisors
- Procurement
- Senior Leadership
- Act as the central point of coordination for all high-value commercial negotiations.
Qualifications
- Bachelors degree in Commerce, Law, Business, or related field.
- MBA (Finance / Marketing) or LLB preferred.
- 715 years of experience in:
- Commercial negotiations
- Contract management
- Strategic sourcing
- Corporate sales or institutional business
- Automotive, FMCG, industrial, or manufacturing sectors preferred
