Job Description

Role Overview


We are seeking an experienced Company Secretary to join our Finance team and oversee corporate secretarial, governance, and compliance functions. The role involves ensuring adherence to statutory requirements under the Companies Act, FEMA, , RBI, IFSCA, SEBI and other applicable regulations, while also supporting corporate legal affairs, board governance, and financial compliance matters. The ideal candidate will bring strong expertise in corporate laws, compliance management, and legal advisory with the ability to collaborate across business functions.


Key Responsibilities

Statutory and Regulatory Compliance: Ensuring strict adherence to the provisions of the Indian Companies Act, 2013, Foreign Exchange Management Act (FEMA), SEBI regulations (if applicable), and other relevant labor, tax, and environmental laws. This includes ongoing monitoring of regulatory changes.

Board and General Meetings: Coordinating, preparing for, and facilitating all Board, Committee, and Shareholder meetings (AGM/EGM). This involves drafting agendas, preparing board packs, recording minutes, and ensuring all meeting procedures comply with legal requirements and secretarial standards.


Filings and Reporting:

Filing all necessary forms, returns (e.g., annual returns, financial statements), and resolutions with the Ministry of Corporate Affairs (MCA) and the Registrar of Companies (ROC) within prescribed timelines.

Managing Reserve Bank of India (RBI) reporting requirements under FEMA, such as FIRC, FC-GPR for foreign direct investment, and FLA returns.

Ensuring timely and accurate reporting to the parent company on financial performance, legal compliance status, and operational risks.

Records Management:

Maintaining all statutory books, registers (e.g., Register of Members, Directors, Charges), and corporate records in compliance with applicable laws.

Acting as a chief advisor to the Board of Directors and senior management on best practices in corporate governance


CSR Management:

Overseeing the companys Corporate Social Responsibility (CSR) activities and compliance, as mandated by Section 135 of the Companies Act, 2013.

Assisting the CSR Committee of the Board with policy formulation, project identification, implementation monitoring, fund utilization, and impact assessment.

Ensuring proper documentation and reporting of CSR activities in the annual reports and on the company website, in line with statutory requirements.


Drafting and reviewing a host of agreements including master service agreements, repair services agreements, employment agreements and other commercial agreements.

Liaising with and managing government, regulatory and/or quasi-judicial authorities as and when required.


Key Requirements

Education:

Company Secretary (ICSI Professional Level)

L.L.B Degree from a recognized university in India.


Experience :

Minimum 6 - 10 years of experience in Company Secretarial functions, corporate governance, and compliance management.

Hands-on experience in managing statutory filings, board processes, and corporate law advisory.
