Role Overview
We are seeking a qualified and experienced Company Secretary (CS) to manage corporate secretarial functions and ensure full compliance with regulatory requirements under the Companies Act, FEMA, RBI, and other applicable laws. The role will have a strong focus on FDI and ODI related filings, reporting, and liaison with Authorized Dealer (AD) Banks and RBI.
Key Responsibilities
A. Corporate Secretarial Functions
- Ensure compliance with the Companies Act, 2013 and applicable rules.
- File forms and returns with the Registrar of Companies (ROC).
- Draft and vet corporate documents, resolutions, and agreements.
- Manage corporate governance framework and compliance calendar.
B. FEMA, FDI & ODI Compliance
- Handle end-to-end FDI compliance, including:
- Filing of FC-GPR
- Annual FLA return
- Reporting of transfer of shares (FC-TRS)
- Downstream investment reporting
- Manage ODI compliance, including:
- Filing of Form FC
- APR (Annual Performance Report)
- ODI restructuring / disinvestment reporting
- UIN related matters
- Coordinate with AD Banks for:
- FDI/ODI reporting
- Purpose code clarification
- RBI representations
- Ensure timely submission of all FEMA-related returns and documentation.
- Maintain proper documentation and FEMA compliance records.
C. Regulatory & Advisory
- Interpret FEMA, RBI, and MCA circulars and provide internal advisory.
- Assist management in structuring cross-border investments.
- Liaise with legal advisors, auditors, and consultants.
- Handle compliance during fund raising, share allotments, and ESOPs (if applicable).
Eligibility Criteria
- Qualified Company Secretary (Member of ICSI)
- 38 years of relevant experience (experience in FDI/ODI compliance preferred)
- Strong working knowledge of:
- Companies Act, 2013
- FEMA regulations
- RBI reporting framework
- MCA and FIRMS portal
Key Skills
- Strong drafting and documentation skills
- Attention to detail and compliance orientation
- Ability to coordinate with banks and regulators
- Strong communication and stakeholder management skills
Preferred Experience
- Experience in handling multi-layer or overseas subsidiary structures
- Exposure to cross-border transactions and foreign remittances
- Prior experience in consulting or advisory firms is an advantage
