Job Description
Purpose of the role: The Senior Company Secretary is a pivotal role, serving as the conscience of the company and the primary governance professional. This role is responsible for ensuring the company adheres to all legal, statutory, and regulatory requirements (including the relevant Companies Act, Listing Regulations, and Securities Laws), and for facilitating the effective functioning of the Board and its committees, thereby upholding the highest standards of corporate governance.
Experience: 10+ year

- Corporate Governance and Compliance
- Board and Committee Support
- Shareholder and Stakeholder Relations
- Mastery of Corporate Law: Deep and current knowledge of the Companies Act, Securities Laws, Listing Regulations, and other related economic and commercial laws.
- Corporate Governance Expertise: Proven ability to implement and enforce best-in-class governance structures.
- Communication Excellence: Exceptional written and verbal communication skills, especially in drafting legal documents, minutes, and communicating with the Board, regulators, and shareholders.
- Integrity and Discretion: Unquestionable ethical standards and ability to handle highly sensitive and confidential information with absolute discretion.
- Attention to Detail: Meticulous and highly organised approach to compliance and record-keeping.
- Strategic Acumen: Ability to think strategically and translate complex legal and governance issues into clear, practical advice for the Board and management.
- Leadership: Experience in managing and mentoring a Company Secretarial/Governance team.
Qualification: CS, LLB, CA.
