Role Overview
The Deputy Company Secretary will be responsible for managing corporate secretarial functions, statutory compliance, legal documentation, and financial coordination for investment entities within the group. The role requires strong expertise in Company Law, regulatory compliance, and coordination with statutory authorities.
Key Responsibilities
1. Board & Corporate Governance
- Organize and handle Board Meetings and Committee Meetings
- Prepare agenda, draft and maintain minutes of meetings
- Ensure timely filing of resolutions and returns with ROC
- Maintain statutory registers and records
2. ROC & Company Law Compliance
- Handle all matters relating to the Registrar of Companies
- Ensure compliance with statutory obligations under Company Law
- Manage procedures relating to Company Law Board matters
- Compliance related to Return of Capital Employed
- Incorporation of new companies and related documentation
3. Legal & Documentation
- Draft and review lease deeds and rental agreements
- Coordinate registration of immovable properties in liaison with company advocates and auditors
- Handle trademark-related legal compliances
- Manage various company affairs and legal matters
4. Finance & Taxation Support
- Oversee finance and accounts of investment companies
- Monitor advance tax payments of group companies
- Understand investment patterns and track returns thereon
5. Regulatory & Liaison
- Liaise with regulatory authorities, legal advisors, auditors, and consultants
- Ensure timely statutory filings and adherence to regulatory frameworks
Required Skills & Competencies
- Effective communication skills (written and verbal)
- Strong command over English
- In-depth knowledge of Company Law procedures, Company Law Board, and ROC processes
- Sound understanding of investment structures and return patterns
- Strong analytical and leadership abilities
- Attention to detail and strong documentation skills
- Ability to work independently and handle confidential matters
