About the Role


This is a strategic leadership role focused on Board Administration, Corporate Governance Best Practices, and IPO Readiness. Unlike traditional roles, this position is focused on procedural rigor, transparency, and high-level stakeholder management. You will bridge the gap between the Board of Directors and the operational compliance team, ensuring the company is "Listed-Ready."


Responsibilities

  • IPO Leadership & Capital Raising
  • Mainboard IPO Execution: Act as the lead internal coordinator for the IPO process. Manage the Secretarial Due Diligence required for the Draft Red Herring Prospectus (DRHP).
  • Stakeholder Liaison: Coordinate with Merchant Bankers, Legal Counsels, and Registrar & Transfer Agents (RTA) to ensure all pre-issue governance requirements are met.
  • Capital Restructuring: Oversee the legal and secretarial aspects of equity/debt issuance, including rights issues, private placements (NCDs), and bonus issues.


  • Board & Committee Administration
  • Meeting Logistics: End-to-end management of Board, General Meetings, and mandatory NBFC Committees (Audit, NRC, Risk Management, IT Strategy).
  • Documentation Excellence: Draft and finalize high-quality Minutes in strict adherence to Secretarial Standards (SS-1 & SS-2).
  • Agenda Management: Curate sophisticated "Board Packs" that provide Directors with the strategic context needed for decision-making.


  • Advanced Corporate Governance & RBI Framework
  • RBI Governance Norms: Implement the RBIs Scale-Based Regulations (SBR) concerning governance, including "Fit and Proper" criteria and Board composition.
  • Governance Advisory: Provide expert counsel to the Chairman and KMPs on their fiduciary duties and the legal implications of board-level decisions.
  • Statutory Oversight: Maintain the accuracy of all Statutory Registers and oversee shareholder relations.


  • Strategic Legal & Compliance Support
  • Listing Readiness: Transition the internal governance framework from a private entity to a SEBI (LODR) compliant listed entity.
  • Inter-departmental Interface: Support the separate Legal/Compliance team by providing the secretarial foundation for complex corporate restructurings or debt raising.

  • ICSI Qualified Company Secretary


Required Skills


  • Mandatory Requirement: NBFC Experience. Must understand RBI governance cycles.
  • IPO Exposure: Prior experience in a company that has undergone or is actively preparing for a Mainboard IPO.
  • Drafting Skills: Exceptional ability to draft complex resolutions, minutes, and corporate reports.
  • Soft Skills: High emotional intelligence and diplomacy to manage senior Board members and external regulators.
