Company Secretary (Corporate & Compliance Support)

Role Overview

BTG Advaya is looking for a qualified Company Secretary to support the firms corporate practice in delivering secretarial, compliance, and governance advisory services to clients. The role will involve assisting clients with corporate governance, regulatory compliance, board processes, and transaction support.

Key Responsibilities

• Advise clients on compliance under the Companies Act, 2013, SEBI regulations and other applicable corporate laws.
• Manage corporate secretarial matters including maintenance of statutory registers, regulatory filings, and compliance monitoring.
• Assist with incorporation of companies, corporate restructuring, and corporate governance matters.
• Prepare and file statutory forms with the Registrar of Companies (ROC)and other regulatory authorities.
• Organise and support board meetings, committee meetings, and shareholder meetings, including preparation of notices, agendas, and minutes.
• Provide transaction support on M&A, investments, corporate restructurings, and other strategic transactions.
• Assist with secretarial audits and compliance reviews for clients.
• Liaise with regulators, auditors, and client management teams on corporate governance matters.

Qualifications

• Qualified Company Secretary (ICSI member).
• 26 years of experience in corporate secretarial or corporate law practice.

Skills & Attributes

• Strong knowledge of corporate laws, governance frameworks, and regulatory filings.
• Experience in handling compliance under the Companies Act and related regulations.
• Excellent drafting, documentation, and organisational skills.
• Ability to manage multiple client engagements and deadlines.
• Strong communication and client-management abilities.
