Role Overview
We are seeking a detail-oriented and proactive Company Secretary / Compliance Officer to ensure that the organization operates within the legal and regulatory framework while maintaining the highest standards of corporate governance. This role is critical in safeguarding the companys integrity and supporting its strategic objectives.
Key Responsibilities
Corporate Governance
- Ensure compliance with statutory and regulatory requirements and uphold best governance practices.
- Maintain statutory registers, records, and filings with relevant authorities.
- Organize board meetings, AGMs, and committee meetings, including agenda preparation and accurate minute-taking.
Compliance Management
- Develop, implement, and monitor compliance policies and procedures.
- Track regulatory updates and ensure timely adherence across the organization.
- Act as the primary liaison with regulatory bodies for filings, disclosures, and documentation.
Listing & Regulatory Compliance
- Ensure adherence to stock exchange listing requirements (if applicable).
- Coordinate with regulators, stock exchanges, and legal advisors.
- Advise leadership on corporate actions, shareholder rights, and regulatory implications.
Risk Management
- Identify compliance risks and implement corrective measures.
- Conduct periodic compliance audits and risk assessments.
- Report findings and recommend improvements to senior management.
Training & Awareness
- Conduct compliance training sessions for employees and management.
- Keep the organization updated on evolving regulatory requirements.
Qualifications
- Bachelors degree in Law, Finance, Business Administration, or a related field.
- Mandatory: Company Secretary (CS) Certification
- 2+ years of relevant experience in compliance, corporate governance, or secretarial functions.

- Strong knowledge of corporate laws and compliance frameworks.
