Job Description

Job Responsibilities

  • Lead and execute financial due diligence engagements for mergers, acquisitions, and investments, primarily focused on SaaS-based companies.
  • Analyze financial statements, key performance indicators (KPIs), and operational metrics specific to SaaS businesses (e.g., ARR, MRR, churn, CAC, LTV).
  • Assess revenue recognition policies, deferred revenue, and subscription-based revenue models.
  • Identify and evaluate financial risks, opportunities, and deal drivers unique to SaaS companies.
  • Prepare detailed due diligence reports and present findings to clients and stakeholders.
  • Examining historical trends and discussing significant fluctuations and non-recurring items between periods
  • Performing analysis on quality of earnings, working capital and debt like items and communicating key findings to the Onsite teams.
  • Analyze key KPIs such as customer churn, retention rates, and revenue concentration to assess stability, growth potential, and risk exposure. Interpret these metrics in the context of ARR/MRR trends and contract structures to support valuation and deal strategy.
  • Assisting clients in identifying pre and post-acquisition transaction issues
  • Performing consistency checks on the data books and reports.
  • Supporting Associate Director in identifying new business opportunities and developing long-term business relationships with Onsite teams.
  • Strong interpersonal and client relationship skills

  • Identify potential risks in transactions and assist in developing mitigation strategies.
  • A team player with strong intellectual curiosity, industrious and willing to learn new capabilities.


Qualifications, Knowledge, Skills and Abilities


Education:

  • A bachelors degree in accounting and finance
  • A masters degree in accounting and finance (i.e. M. Com, MBA etc.)
  • Professional qualifications such as CFA, CPA, CA and CMA, will be advantageous.


Experience:

  • Up to 16 years of relevant experience in conducting financial due diligence for projects involving SaaS-based companies.
  • Strong understanding of SaaS business models, metrics, and industry trends.
  • Demonstrated interpersonal and client relationships skills.
  • Demonstrated proficiency in Microsoft Office, with focus on Word and Excel
