About the Corporate Development (“CD”) Team

CD is the global team responsible for implementing Cognizant’s M&A strategy and inorganic growth mandates. The CD team works across the entire value chain of M&A including sourcing, execution, and value capture and integration. We work in tandem with our Business Unit partners and corporate functions within Cognizant to realize our inorganic goals around growth and differentiation.

Over the past 6 years we have completed over 30 acquisitions globally deploying approximately $7 billion of capital and we have committed to making further acquisitions that strengthen our position across strategically important markets, industries and service offerings.

CD is strengthening its global presence by establishing an India based team with focus on strategic commercial due diligence (SDD), value capture (VC) and post-merger integration (PMI) capabilities.

Who are we looking for

CD is a high-impact function within Cognizant. We are responsible for high stakes transactions, and we regularly interface with senior executives in that context. We are looking for hands-on leaders who are creative with a problem-solving mentality and a nuanced understanding of risk. We are a small but global team that works in a very collegial environment; successful candidates will find a platform for personal and professional growth within CD.

Your key responsibilities

  • As a key leader within the global Value Capture (VC) team for Corporate Development, you will lead relevant activities across the M&A lifecycle
  • Pre-deal you will [work on/lead] the definition of post close value capture opportunities including framing of:

o Post-deal joint client proposition, including value drivers and integration principles aligned with the acquisition business case

o Targeted revenue synergy opportunities

o End state organizational operating model that is required to support the pursuit of revenue synergies

o Cost synergy potential and a development of phased plan to deliver these

  • You will collaborate closely with sponsoring BU leaders in both the pre and post-deal setting but become closely engaged with delivery, operations and corporate functional leaders post-close in delivering the value capture plan
  • Post-close, the VC team has the following roles:

o Partner with sponsoring business units to ensure commercial momentum and in driving accountability around pursuit of value capture plan identified in diligence and tracking progress thereof

o Guide Cognizant and acquired integration teams on Cognizant’s Integration thesis

o Identify roles, responsibilities and membership of the integration governance model; setup and facilitate operating and executive committees including scheduling, agenda and content

o Ensure early definition of a high-level Target Operating Model with stakeholder alignment

  • Collaborate and extensively work with post-merger integration team within corporate development in the pursuit and delivery of the value capture plan
  • The role whilst based out of India will support our global M&A pursuits

Additional responsibilities include:

  • Assist in preparing for and where relevant participate in Executive Leadership / Investment Committee / Board of Directors deliverables and communications
  • Collaborate extensively with SDD and sourcing & execution teams to ensure consistently high-quality output in support of our business partners
  • Continuously improve and develop the playbook on M&A value capture approach

What you bring to the table

  • Industry Experience: Business services, Technology services or other professional services experience essential
  • Functional Experience: Prior experience in business strategy, revenue and cost synergy identification/planning/tracking, and commercial due diligence with a top-tier consulting firm or from another multi-geo global organization. Extensive experience in formulating and executing strategies for Growth, Market Expansion, Go-to-Market and the use of M&A to enable these
  • Years of Experience: 15+ years of relevant experience
  • Education: BA or BS Economics, Finance, or other relevant business degree; MBA preferred but not required; CPA, CFA or other relevant professional/ post-graduate qualification desirable
