We are hiring a Senior Manager / AVP Fund Operations for a SEBI-registered Category II Alternative Investment Fund (AIF) with a large corpus.

This is a high-impact role within the Fund Operations & Governance function, focused on transaction lifecycle management, regulatory compliance, documentation governance, and investor operations within a private equity / private credit structure.

Role Overview

The incumbent will lead end-to-end AIF operations management, ensuring seamless execution of investment transactions, regulatory adherence under SEBI AIF Regulations, documentation control, and stakeholder coordination across investment, legal, compliance, trustees, and fund administration.

This role demands strong exposure to Category II AIF operations, particularly within private equity, structured credit, debt funds, or real estate funds.

Key Responsibilities

1 Investment Transaction Operations & Documentation Control

• Oversee end-to-end transaction documentation lifecycle for private credit / PE deals
• Manage and coordinate:
• Shareholders Agreements (SHA)
• Share Subscription Agreements (SSA)
• Debenture Subscription Agreements (DSA)
• Escrow & Pledge Agreements
• Ensure documentation reflects commercial terms (IRR, coupon, redemption premium, security cover, covenants, cash flow waterfall)
• Track and monitor Conditions Precedent (CP) / Conditions Subsequent (CS)
• Coordinate with external legal counsel and trustees for deal closures
• Ensure proper stamping, execution, safe custody & document archiving
• Maintain digital & physical master documentation repository
• Implement version control and audit trail systems
• Drive adherence to internal SOPs and governance frameworks

2 Investor & Regulatory Operations

• Manage investor onboarding, KYC & AML processes
• Support regulatory filings under SEBI AIF Regulations
• Coordinate with debenture trustees & security trustees
• Ensure compliance documentation and regulatory record maintenance

3 Fund Operations & Process Automation

• Strengthen documentation governance framework
• Implement and manage Document Management Systems (DMS)
• Drive automation in reporting and compliance tracking
• Ensure archival policies aligned with regulatory requirements
• Enhance operational efficiency across fund lifecycle processes

Ideal Candidate Profile

• 710+ years of experience in Category II AIF / Private Equity / Private Credit / Debt Fund / Real Estate Fund operations
• Strong understanding of SEBI AIF regulations
• Experience in transaction documentation management within an investment fund structure
• Postgraduate / CS / LLB / MBA preferred
