Role : Assistant Manager/Sr. Manager Company Secretary

Location : Gurgaon

Qualification : CS

Experience : 3 to 5 years

Job Description :


  • Ensure compliance with the Companies Act, Secretarial Standards, corporate governance norms, and IRDAI regulations.
  • Advise the Board, Committees, and senior management on company law, governance, and regulatory matters.
  • Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including preparation of notices, agendas, minutes, Directors Report, and Annual Report.
  • Handle appointment, re-appointment, tenure completion, and extension of Directors, along with timely regulatory and stakeholder intimations.
  • Track and ensure closure of action points arising from Board and Committee meetings.
  • Maintain statutory registers, records, and ensure timely filing of returns, forms, and reports with MCA and IRDAI.
  • Coordinate and liaise with regulatory authorities such as IRDAI and the Ministry of Corporate Affairs (MCA) for approvals and compliances.
  • Monitor changes in laws, regulations, and policies impacting the organization and ensure timely implementation and Board approvals.
  • Coordinate with Practising Company Secretaries, Statutory Auditors, Internal Auditors, and Secretarial Auditors and manage audit-related compliances.
  • Ensure timely filing of all regulatory returns and adherence to IRDAI guidelines.
  • Handle any other secretarial, compliance, or governance-related assignments as assigned from time to time.
