Assistant Manager - Company Secretary

Roles & Responsibilities:

• Maintenance of statutory records and registers
• Maintenance of MIS of group companies from secretarial perspective
• Updation of knowledge: keeping track of various amendments and its implications
• Corporate governance compliance
• Insider trading and take over regulations compliances
• Filing of forms and returns with ROC
• Agenda, resolutions and minutes preparation for Board, Committee and General meetings
• Compliances under the Listing Agreement, listing of shares issued under ESOP, Private Placement from time to time
• Compliances under Private Equity and Joint Venture Arrangement
• Annual General Meeting Annual Report printing, Dividend distribution
• FEMA compliances reporting to RBI for investment / loan to WOS / JV companies, Annual Performance report for WOS/JV companies
• Corporate restructuring like merger and acquisition, preferential issue of shares, QIP, buyback of shares
• Drafting and vetting of various agreements like share purchase agreement, share subscription agreement, joint venture agreement/ memorandum of understanding, leave and license agreement
• Power of attorneys, lease deeds, hypothecation / mortgage agreement, credit facilities documents etc.
• Handling independently the compliance of various subsidiaries and group companies
• Formation of companies, LLPs
• Investors relationship and liaisons with outside agencies like Stock Exchanges, SEBI, ROC, RBI, NCLT OL, RD, Banks, Depositories, Registrar and Share Transfer Agent etc.
