Job Summary:
We are looking for a detail-oriented and proactive Contract Specialist / Legal Manager to manage the complete contract lifecycle, ensure legal compliance, and support business teams with effective legal solutions. The role involves drafting, reviewing, negotiating contracts, managing legal risks, and ensuring adherence to contractual obligations across multiple regions, with a strong focus on HRMS/SaaS environments.
Key Responsibilities:
- Manage the end-to-end contract lifecycle, including drafting, review, negotiation, and execution of agreements.
- Conduct operational due diligence for prospective and existing clients, ensuring all legal requirements are fulfilled.
- Perform contract redlining and negotiations for various agreements such as:
- Master Service Agreements (MSA)
- SaaS Agreements
- End User License Agreements (EULA)
- Non-Disclosure Agreements (NDA)
- Service Agreements
- Data Processing Agreements (DPA)
- Software License Agreements
- RFP documents
- Ensure all commercially agreed terms are adhered to and aligned with legal standards.
- Collaborate with internal and external stakeholders across India, Southeast Asia, and the Middle East.
- Draft and respond to legal notices and communications.
- Support internal policy management, including drafting, reviewing, and updating policies and procedures annually.
- Assist in legal risk assessment and mitigation strategies.
- Contribute to audit and compliance processes, including internal checks and MIS reporting.
- Provide practical legal advice to internal teams on contractual obligations and compliance.
- Recommend innovative and effective legal solutions to meet business requirements while minimizing risk.
Key Skills & Competencies:
- Strong knowledge of contract law and commercial agreements
- Proven experience in SaaS contracts, preferably within an HRMS platform
- Excellent negotiation and drafting skills
- Strong analytical and risk assessment abilities
- Ability to manage multiple stakeholders and geographies
- High attention to detail and strong organizational skills
- Good communication and stakeholder management skills
Qualifications:
- LLB / LLM from a recognized university
- Relevant experience in contract management or corporate legal role
Preferred Experience:
- Experience working in HRMS platforms or HR Tech companies
- Exposure to international contracts and cross-border regulations
- Prior experience supporting sales/business teams in SaaS environments
